IS EQUITYPITCHER.COM A CROWDFUNDING PLATFORM?

No. Equitypitcher is not crowdfunding. Crowdfunding platforms list diverse companies or not-for-profit organizations with the aim to receive capital from a large number of investors. This often happens with minimal or no due diligence at all. Investors can usually participate with small amounts starting at 250 USD.
Equitypitcher operates in the venture capital area. The presented companies go through a due diligence process. Professional or qualified private investors participate with a minimum amount of 20,000 CHF.

IS IT POSSIBLE TO WORK WITH EQUITYPITCHER WHILE PROTECTING MY BUSINESS IDEA?

Yes, you can! We broke down the flow of information into separate levels for your protection.

  • Visitors to the site that are not registered can view a brief anonymous description of your company.
  • Investors who pass the verification process receive a login access. Within this protected login area, investors are able to view more information about your company. This information does not include any sensitive data or detailed business plans. You decide how much information to post in this step.
  • Once an investor shows interest in your company and you give the green light, the interested investor is given access to a detailed business plan and the due diligence documentation. Of course, you can request the signing of an NDA upfront.

WHAT DOES EQUITYPITCHER OFFER ON TOP OF THE PLATFORM AND ACCESS TO POTENTIAL INVESTORS?

At the beginning of a financing round, we define the financing requirement. If the startup does not reach the needed amount, there are different options to address this.

  • Is it possible to amend the business plan to make the company successful with less capital?
  • Extend the current financing round deadline.
  • The financing round is declared unsuccessful and closed. There is no flow of money.
  • Additional options may come up based on the individual situation of the startup and the investors.

WHAT IS THE ROLE OF EQUITYPITCHER IN THE BROKERING OF THE TRANSACTION?

Equitypitcher is only an agent between investor and startup entrepreneur. The transaction happens between the startup and the investor directly.

Filling out a project application and the screening process is free of charge and does not bind you to any obligations. In the event of a cooperation, a transaction fee of 3% on the mediated capital will be charged upon a successful completion of the financing round.

Equitypitcher operates in the same area as Venture Capital. The presented companies go through a process of due diligence and they aim to attract professional investment companies or qualified private investors who have a minimum investment of 20,000 CHF.

HOW DO I INVEST IN A COMPANY?

You get access to the login area of the platform with your personal registration information. That is where you find an overview of the current projects. If one of the startups looks promising to you, you can get in touch with them to request further information, to make an appointment with the company, or to request the forms to move on to the investment part. As soon as the current finance round is completed, you send the startup the negotiated investment capital.

WHAT HAPPENS IF THE STARTUP DOES NOT REACH THE REQUIRED AMOUNT FOR THE CURRENT FINANCING ROUND?

The required capital is defined at the beginning of the finance round. If the startup does not reach the predetermined amount, there are a few scenarios to address this.

  • Is it possible to amend the business plan so that it still has a chance for success with less capital?
  • The campaign for the current financing round may be extended.
  • The finance round is closed and ruled unsuccessful. No funds are disbursed.
  • Other options are dependent on the individual situation of the startup and the investors.

HOW DO I EARN MONEY AS AN INVESTOR?

As everybody knows, investing in startups bears a high risk. In a worst-case scenario, all of the invested money could be lost. If you invest into a successful startup, your initial investment can return a considerable amount up to several times of the amount you invested. In general, we recommend that you diversify and invest in a variety of startups. A typical investment runs on average for 3-5 years. Due to these factors, we recommend that you only invest funds that you do not need in the next 5 years and you are financially able to take a possible total loss on the investment. Once you choose an investment, you typically become a shareholder in the company and have 3 opportunities to profit from it:

  • Exit: The company is bought as a whole or becomes publicly traded.
  • Sell your stock at a higher price: If the company shows steady success and grows in value, so does your stock. That higher value turns into a profit for you once you sell at that new higher price. Please be aware that there is no marketplace for this type of shares. You have to find buyers and negotiate the price with the buyer individually.

  • Dividends: As with any shares, you take a direct part in the success or misfortune of the company. Paying out of dividends is not typical for startups since any profit is usually reinvested into the company’s growth. However, there is a possibility for the disbursement of dividends once the company passes the break-even point.

In a worst-case scenario, you could lose the whole amount of your investment. However, if the company ends up in debt, you have no obligation to make additional payments.

The presented startups go through a rigorous due diligence process that verifies the viability of the startup. Equitypitcher; however; gives no guarantees or assurances for any company. Each investor has to be aware that this represents a high-risk investment. As the owners of this site, we do not give any recommendations, offers, or compel you to buy or sell shares. We do not underwrite the transactions.

HOW DO YOU USE MY CONTACT INFORMATION?

Since you receive sensitive insight into the company’s secrets, it is important for Equitypitcher to be able to assure the startups that their information is made available only to people who have identified themselves first. Your name and contact information is transferred to a startup once you enter a request to receive more detailed information about the startup’s business plan. Until such time, you are anonymous to all third parties.

HOW DO YOU DECIDE ON THE VALUATIONS FOR THE COMPANIES?

A typical finance round is run by a professional lead-investor. These are qualified private investors with a high level of expertise or investment firms. This lead-investor negotiates the best-possible valuation with the startup. Co-investors profit from this external valuation independent of their own expertise or abilities to negotiate. Early Stage Investments are very difficult to rate and it is impossible to give an exact answer because the expectation is always that of a future return. The goal is simply to get in on a good deal.

Registering on Equitypitcher is free of charge and you are not required to make an investment. Through registering, you receive access to our pre-selected as well as proofed startups and other various services. In case your investment is successful and your annual return exceeds 5%, a 20% performance fee will be charged from your profits. However, in case your annual return falls below 5%, then there will be no performance fee charged by Equitypitcher.
